JOB PURPOSE


Provides legal advice and services to the General Counsel, Associate General Counsel and Senior Legal Counsel on existing operations, including contracts, and new projects and transactions, both domestically and internationally as well as advising on employee matters, procurement contracts and leases and acting on committees/investigations. Ensures conformity with laws and regulations, drafts, reviews and amends legal opinions, agreements and documents and provides advice on safeguarding ADNOC L&S’s interests.


Works with AGC to manage and supervise all corporate and commercial legal affairs of ADNOC L&S.


Assists with the development and review of documentation for all commercial, corporate and transactional matters as and when required by either ADNOC L&S as well as the development, implementation or maintenance of legal opinions, standard form agreements and other legal documentation for use by ADNOC L&S.


Assists with the legal functions of ADNOC L&S pertaining to disputes, arbitration, litigation, contract drafting, contract review and all other maritime related corporate and commercial functions.


KEY ACCOUNTABILITIES


  • Provides legal counsel and advice to the General Counsel, Associate General Counsel and Senior Legal Counsel with regard to commercial, corporate and transactional matters as and when required or assigned, including joint ventures, investments, mergers, acquisitions, incorporations, dissolutions and liquidations. Additionally, advises on and leads employee related disputes, domestic court cases, general contracts and leases.
  • Drafts, reviews, interprets and amends legal opinions, agreements, letters, memos, submissions and any other relevant documents related to the business, projects or transactions related to matters for ADNOC L&S.
  • Assists the the General Counsel, Associate General Counsel and Senior Legal Counsel in providing the legal functions of ADNOC L&S particularly in development and implementation of common legal practices and joint strategies.
  • Attends internal ADNOC L&S committees and meetings, as and when required.
  • Assists with external legal counsel services related to contractual advice or employee or domestic contract disputes, including review of external legal counsel work product, preparation of request for proposals and instructing external legal counsel.
  • Coordinates with the Corporate Governance Department on corporate governance matters related to contracts and transactions.
  • Coordinates with the Compliance Department on compliance matters related to contracts and transactions.
  • Provides legal advice and services to the the General Counsel, Associate General Counsel and Senior Legal Counsel to ensure that its commercial and corporate activities are conducted in compliance with applicable law and regulations.
  • Assists in advising on all ADNOC L&S disputes (whether in court, arbitration or other form of dispute resolution) relating to employees and breach of contract.
  • Performs other similar duties as assigned by the the General Counsel, Associate General Counsel and Senior Legal Counsel.

MINIMUM REQUIREMENTS


  • Bachelor’s Degree in Law.
  • At least 5 years of relevant experience preferably in top international law / consultancy firms and/or local or international blue-chip corporate/s.
  • Experience preferably in commercial contracts, and some disputes experience would be an advantage but not a pre-requistite .
  • Excellent English language (written and spoken). Knowledge of Arabic Language is an asset.
