Help AG is looking for talented and experienced professional Director – Legal / Contracts who will oversee all legal matters within the company in line with the Group's legal framework and will work closely with the team to ensure a business focused and risk-based approach to contracts and agreements with customers and suppliers. The role will provide strategic legal advice to senior management, coordinated with group legal and external advice in local jurisdictions.
This role requires extensive knowledge in technology contract law and cybersecurity industry, as well as the ability to navigate through complex technological service models while mitigating legal risks. The role will build and evolve a tailored approach to contractual business risks for a structured review, assessment and mitigation in different jurisdictions of our activities to support Senior Management's decision making.
Responsibilities:
Legal Strategy: Develop and implement a risk-based contract review framework, aligned with the company's GRCP risk management approach.
Oversee, monitor and assess legal risks associated with the company's operations and provide proactive solutions to mitigate those risks.
Lead collaboration with group legal and external legal counsel as applicable for matters related to all relevant matters as applicable.
Contract Management:
Review, draft, and negotiate contracts, specific to system integration projects, including service level agreements (SLAs), statements of work (SOWs), vendor agreements, and other legal documents to protect the company's interests and identify / mitigate risks and support the business.
Ensure that contracts with clients, subcontractors, and vendors are aligned with the company's business objectives and legal standards.
Manage contract lifecycle from initiation to execution and renewal, ensuring compliance with contractual obligations and timelines.
Guide and train bid management team towards further professional development.
Advise on intellectual property matters in constellation with 3rd party services / system integration / services white labelling.
Litigation and Dispute Resolution:
Manage and oversee the company's litigation matters, including working with the group and external counsel when necessary.
Provide legal advice and guidance on dispute resolution and litigation strategies.
Corporate Legal Governance:
Oversee the company's corporate legal governance and ensure compliance with corporate laws and regulations.
Collaborate with other departments, such as HR and Finance, to ensure legal compliance in areas such as employment law and financial regulations.
Stay updated on changes in laws and regulations in each jurisdiction where the company is active in.
Ensure coordination with group legal in ensuring timely legal advisory on matters including review of internal policies (ABAC, Code of Conduct, Confidentiality Undertaking etc.), Labor laws, IPR and Data Protection clauses, Financial Risks.
Cybersecurity, Data Protection & Insurance:
Advise on compliance with cybersecurity regulations and data protection laws.
Conduct legal audits of existing cybersecurity policies and procedures.
Represent the company in case of data breaches and other cybersecurity incidents.
Support in handling the company’s commercial insurance covers and working with brokers/consultants.
Qualifications & Skills:
Bachelors / master’s degree from an accredited law school.
Minimum of 10 years of legal experience, with at least 5 years in the context of technology integration and/or cybersecurity.
Extensive knowledge of contract law, technology and cybersecurity practice.
Familiarity with international laws and regulations related to cybersecurity and data protection.
Ability to work in a fast-paced, dynamic environment and manage multiple priorities
Experience in the system integration or service provider sector.
