Draft, review, structure, and negotiate various types of contracts.
Engage with and seek input from internal stakeholders and subject matter experts
Ensure all contracts comply with relevant laws and company policies
Identify potential legal and regulatory risks proposed terms
Conduct legal research to support contract-related matters.
Perform self-review of existing contracts against company policies and contracts governance process, and propose a remedial action plan
Centralize all contract-prescribed documentation and communications with the counterparty
Develop relevant contracts management process designed to streamline and optimize internal collaboration, enhance contracts quality, reduce risks, increase contracts compliance, minimize contracts disputes, and maximize business outcome
Qualifications & Experience
Minimum of 8 years of professional experience
Minimum of 4 years of experience in negotiating, drafting and managing commercial contracts in high-pace organizations
Firm understanding of legal concepts and risk allocation tools and mechanisms typically used in commercial contracts
Experience drafting and negotiating IT contracts, digital marketing, branding, IP licenses, preliminary agreements (NDA, LOI, EOI, etc.), consultancy, joint bidding arrangements, leases, and supply of goods and services contracts
Experience drafting and negotiating cross border commercial contracts
Experience in managing gated tender processes
Working knowledge of common sureties, guarantees and indemnities, including bank guarantees, corporate guarantees, comfort letters, performance bonds, retention guarantees, etc. and experience structuring, analysing and drafting security packages and documentation
Experience in process design and digital transformation projects
