Key responsibilities and accountabilities
- You will handle legal transactions, partnerships and projects across various regions in order to ensure that the transactions comply with UAE/KSA laws and regulations.
- You will be involved with international cross border M&A, joint ventures, and commercial matters.
- Work on transactional matters, including coordination of legal due diligence projects, drafting of initial deal documentation including assistance with the drafting of key transaction documents and assistance with the overall deal management.
- You will be responsible for business acquisitions and disposals at a regional, national, and international level.
- Responsible for evaluating new business partnerships with vendors and subcontractors along with examining legal issues related to new products and services.
- Guide management on regulatory and compliance issues to ensure compliance with legal regulations.
- Work closely with colleagues on regulatory matters and project launches in different jurisdictions throughout the MEA region.
- Advise our teams about relevant legal contexts, issues and risks, complex agreement structures, approval processes, and company policies and procedures.
- Experience with content licensing and complex commercial distribution transactions, including but not limited to telcos partnership, promotion agreements, etc.
- Coordinate with cross-functional colleagues including management, procurement, finance, strategy, HR.
- To deal with content production, content licensing agreements.
- Review the legal terms of contracts.
- Negotiate with external third parties.
- Review the contracts and provide the feedback to the Group General Counsel, when needed.
- Proactively advise on general legal/contractual implications on the business of commercial decisions.
- Deal with all forms of media and the rights that belong to the creator of the idea for that particular media.
- Administer corporate transactions and structure them so that corporations function within the boundaries of the law.
- Draft standard clauses (i.e. –Warranties, Indemnities, Force Majeure, Waiver) which are commonly used in all kinds of draft agreements.
- Maintain and update the litigation report.
Requirements
- 3-5 years PQE.
- Bachelor’s Degree in law from a reputable university along with Bar Admission.
- Bilingual Arabic/English language verbally and written is highly desirable for this role.
- Extensive experience in M&A, Tax Law, JV deals.
- Negotiating and drafting media and commercial transactions, such as licensing agreements, production agreements is desirable.
- Experience in media, content, entertainment, technology transactions.
- Ability to develop creative and pragmatic solutions to novel legal questions.
- Great legal and business judgment especially in ambiguous situations.
- High degree of independence, initiative and decisiveness.
- Excellent interpersonal and communication skills and the ability to act as business partner.
