As Legal Director you will be expected to manage the Legal department based in Riyadh and provide legal support and advice to each entity within the group. This person will need to show a deep understanding of the businesses operational issues and accordingly produce viable and tangible solutions to assist management in limiting risk across the different business units within the Group. Client DetailsMulti-business line conglomerate with operations across the GCC.DescriptionTaking the lead in drafting and negotiating responsibility in connection with a broad range of contracts and other transaction documents for all of the company's business units, including, but not limited to, distribution agreements, supply agreements, service agreements, license agreements, tender documents, construction agreements, share purchase agreements, shareholders agreements, letters of intent, memoranda of understanding, employment agreements, franchise agreements and NDAs.Provide timely, accurate and pertinent legal advice to internal clients from diverse backgrounds while working cross-functionally with other departments.Identify legal risks and issues, and ways on how to mitigate them, and provide suggestions to the line manager, to proactively manage risks & mitigate them.Review all the group documents from a legal perspective, to ensure that every company is operating within the jurisdiction and in compliance with the relevant laws and regulations.Render complex legal issues intelligible to non-lawyers while maximizing the commercial opportunities and minimizing the risks associated with the company's business ventures.Prepare, review and modify resolutions and articles of association for the formation of new companies/subsidiaries, in order to ensure these adhere to the legal requirements, and protect the interests of the group.Support the executive team in negotiations of terms and conditions, agreements, etc. from a legal perspective, as required, in order to ensure the necessary support and information is in place for the executive team to proceed with the negotiations.Implement approved departmental policies, processes, and procedures, and ensure employee adherence so that work is carried out to the required standard.Ensures good corporate governance regarding wide range of transaction.Prepare agendas and papers for board meetings, committees and annual general meetings (AGMs) and follow up on action points.Take minutes, draft resolutions, and lodge required forms and annual returns.Perform research regarding a wide variety of matters under KSA law and provide advice to internal stakeholders.Handle all aspects of litigation, from the initial claim through trial, including pleadings, motions, preparing and responding to depositions, mediations, and all aspects of trial practice.Support the executive team in handling disputes with employees, vendors, or any other parties, and provide initial analysis, in order to support the executive team in settling disputes in the interest of the group.Engage in continuous self-development and participate in mentoring and training, while also contributing to the design and maintenance of various policies, processes and procedures within the Legal Department's Corporate Section.Work closely with and manage external counsel.ProfileJuris Doctor, LLM or equivalent degree from a competitive North American or European law school.Admission to practice in Saudi Arabia.Experience dealing with both corporate and litigation matters.Arabic language skills (spoken and written).Legal training or experience within the GCC or the wider Middle East.10 to 12 years post qualification experience working as a corporate and litigation lawyer in a highly reputable private firm or large international company, with substantial experience dealing with foreign counterparties.Strong English language skills, including the ability to negot
