The Role
As a Legal Counsel, based in our offices in Riyadh, you will provide legal expertise, working on contract drafting, corporate matters, intellectual property, and real estate.
What you'll be doing
Commercial Contracts:
Draft, review and negotiate a wide range of commercial agreements, including but not limited to distribution agreements, service agreements, retailer agreements, confidentiality agreements, assets purchase agreements, supply agreements, E-commerce agreements, and lease agreements.
Provide strategic legal advice to internal stakeholders on contract-related risks, obligations and compliance, including liability exposure, termination clauses and dispute resolution mechanisms.
Ensure that all agreements are aligned with KSA regulatory requirements and laws, including Competition Law, E-Commerce Law and PDPL.
Corporate Governance:
Assist with entity formation under MISA, MOCI, and other relevant authorities.
Draft and update Articles of Association/Bylaws, Shareholders and Board Resolutions.
Ensure proper documentation and submission of changes to company structure (e.g., share transfers, capital increases) and to company management (e.g., GM change, board members replacement).
Support corporate restructuring, including mergers, acquisitions, and dissolutions in line with KSA’s Companies Law.
Support in implementing corporate governance best practices in line with local laws.
Draft, review and finalize Powers of Attorney (general and specific) to support business needs, and coordinate with notaries to ensure proper execution and registration.
Regulatory & Compliance Support:
Advise on KSA legal and regulatory developments impacting the business.
Ensure compliance with relevant authorities such as MISA, MOC and other governmental bodies.
Collaborate with internal teams to manage licensing, permits and other regulatory filings as and when needed.
Collaborate with internal teams to develop and implement policies that align with KSA’s anti-bribery, AML, and anti-corruption frameworks.
General Legal Support:
Provide day-to-day legal advice to internal teams on operational and commercial matters.
Assist in dispute resolution, including liaising with external counsel when required.
Conduct legal research to support decision-making processes.
Proactively identify potential legal risks and recommend risk mitigation strategies.
What you’ll need to succeed
You possess at least 2 to 4 years of legal drafting experience in a fast paced environment. You have experience in commercial legal drafting. You possess a Bachelor's or Master's Degree in Law. You are a fluent Arabic and English speaker. You have a thirst for knowledge, are proactive, and have the ability to self manage. You possess strong communication skills.
