Job Description
FUNCTIONAL RESPONSIBILITIES
- Supports the legal business partner in advising the company’s executive team as well as the investor relations, internal audit, finance, human resources and corporate communications functions.
- Supports in ensuring adequate compliance with all applicable laws and regulations, in coordination with the other functions such as Audit, Risk and Compliance, by outlining how Corporate Governance can be aligned to the objectives and strategy of the organization.
- Cooperates in carrying out special projects and assignments on an as need basis as part of the oversight function or as required by the Holding Company.
- Supports in providing legal guidance on external communications such as earnings releases, press releases, investor presentations and marketing materials, and the Company website.
Legal and Contract Management
- Supports in the contact lifecycle management by drafting, reviewing, finalizing and archiving variety of agreements including but not limited to supply agreements, lease agreements, master services agreements, SOWs, non-disclosure agreements, maintenance agreements.
- Assists with maintaining and updating corporate books and records, including but not limited to articles of associations and bylaws, POAs and board of director’s resolutions and assist in the review of corporate transaction legal documents.
- Provides support for various projects related to process improvements, risk management, record retention, implementation of new laws, due diligence and corporate investigations.
- Provides support in litigation, labor law and other legal disputes.
- Researches and anticipates unique legal issues that could impact the company.
- Supports in maintaining and updating the legal risks register, and working with the legal team to monitor and control relevant risks by executing appropriate actions and training.
- Assists in the regular review of risk governance processes including analyzing existing processes, recommending and implementing changes, documenting new processes and procedures to support compliance, continuous improvement and innovative best practice in risk control.
- Contacts and visits government ministries and agencies to enquire and follow up on legal matters.
Legal Dispute Resolution
- Prepare memorandum and undertake case analysis on litigated matters.
- Liaise with business partners and external lawyers to manage claims and proceedings.
- Represent the company (where authorised to do so) before the courts and negotiate settlements.
Skills
Minimum Job Qualifications Requirement (Academic, training, languages, etc.)
- Professional degree in Law from an accredited educational institution.
- Fluency in English and Arabic is required – written and spoken.
- IFSAH Certificate is “Preferred”
Minimum Work Experience:
Minimum 3-5 years’ experience in corporate and/or legal function, working on drafting and reviewing contracts, policy and procedure as well as contact/document lifecycle management. It is a plus if the candidate has past experience on matter related to publicly listed companies and CMA requirements.
Skills & Specifications
- Robust working knowledge of commercial law, corporate law and corporate governance.
- Strong interpersonal and presentation skills, along with the ability to communicate effectively with lawyers and departments.
- Should have good organizational and planning abilities including the ability to deal with/work under pressure and tight deadlines.
- Should have strong analytical/problem solving and quantitative abilities.
- Should be able to communicate effectively and have excellent negotiation skills.
- Should have strong legal English skills.
