Job Description

On behalf of my client we are looking for a General Manager of Corporate Governance.


Job Summary


The General Manager of Corporate Governance is responsible for developing and implementing corporate governance frameworks and policy guidelines across all organizational units. They serve as the internal point of contact for all governance-related matters and provide advice on compliance and issues that may affect operations


Responsibilities


  • Developing frameworks for corporate governance, policy development guidelines, and their dissemination to all organizational units.
  • Acting as an internal point of contact for all employees to provide advice on governance requirements and issues that may affect operations.
  • Reviewing and updating policies to ensure a uniform approach to development (using a single template and policy development guidelines).
  • Disseminating policy templates to organizational units and providing necessary support for technical policy development.
  • Developing authority matrices and escalation mechanisms within the organization in collaboration with relevant departments.
  • Developing a control framework, guidelines, communication channels, and setting a timeline for audit processes.
  • Identifying potential compliance weaknesses, developing corrective action plans, and providing guidance to prevent similar situations.
  • Ensuring alignment of all operations and policies (internal and external policies and regulations).
  • Collecting and analyzing violation reporting models and coordinating with relevant stakeholders to reach timely and appropriate solutions.
  • Conducting training sessions and knowledge sharing with relevant stakeholders in cities to enhance compliance awareness and address changes in internal and external regulations.
  • Developing reports summarizing key findings, non-compliance cases, observations, and reporting them to relevant stakeholders.
  • Designing and implementing risk management and business continuity plans and procedures.
  • Developing a business continuity manual within the organization.
  • Identifying, evaluating, and classifying risks and developing key risk indicators (KRIs).
  • Collaborating with relevant governmental bodies and organizations to measure business continuity performance within the organization.
  • Developing frameworks and guidelines for business continuity and disaster recovery.
  • Conducting regular business continuity tests to protect city readiness in facing disruptions.
  • Monitoring organizational units' compliance with business continuity procedures.
  • Developing a risk management guide within the organization.
  • Coordinating with relevant stakeholders to standardize risk assessments, update the risk register, and escalate reports to concerned stakeholders.
  • Preparation of risk management plans and monitoring their implementation.
  • Increasing awareness of risks and business continuity within the organization.

Requirements
  • Law degree or its equivalent from an accredited institution.
  • Minimum of 15 years of experience
