Job Description
The Executive Director of Legal Affairs and Board Secretariat is responsible for overseeing all legal functions within the organization and ensuring compliance with applicable laws and regulations. This role involves managing the Board Secretariat, facilitating board meetings, and maintaining effective governance practices.
Key Responsibilities:
- Oversee all legal functions, ensuring compliance with laws and regulations.
- Provide legal advice and guidance to leadership and departments.
- Review, draft, and negotiate contracts and legal documents.
- Serve as Secretary to the Board of Directors, organizing meetings and preparing agendas.
- Document and distribute minutes of board meetings and ensure follow-up on action items.
- Advise the Board on governance matters and best practices.
- Identify and assess legal risks, developing strategies to mitigate them.
- Monitor changes in legislation and advise accordingly.
- Liaise with external legal counsel and regulatory bodies as needed.
- Communicate legal and governance issues to stakeholders effectively.
- Lead and manage the legal and compliance team, fostering a collaborative environment.
- Provide training and support on legal matters and compliance issues across the organization.
