Job description:
The corporate lawyer is responsible for ensuring thorough management and servicing of all legal aspects concerning the organization's business. The essential responsibilities of a corporate lawyer are:
Responsibilities:
1. Review and Evaluation:
Assesses contracts, agreements, and legal documents for compliance with applicable laws and regulations.
Goes through the organizations land lease agreements and resolves any issues pertaining to these.
Identifies potential legal risks and liabilities in business transactions and operations.
Provides recommendations to mitigate legal risks and ensure legal compliance.
2. Opinion and Interpretation:
Collaborates with colleagues and external experts to develop comprehensive legal opinions
Presents legal opinions and interpretations to management and stakeholders to address any legal issues.
3. Advisory:
Takes a proactive approach in addressing legal obligations.
4. Corporate Governance:
Advises on corporate governance matters, including board composition, structure, and responsibilities.
Advises and monitors corporate governance best practices as suitable for a private limited entity.
Oversees board and committee meetings, including preparation of agendas and meeting materials.
Provides training and guidance to board members and executives on their role and responsibilities.
Maintains corporate governance documents and records, such as charters, policies, and disclosures.
Acts as the Board Secretary, maintains and follows-up the minutes of the Board and Committees meetings.
5. Representing the company in court(s) and/ or responding government offices:
Files Trademark registration and pleads by hiring an attorney any cases related to copyrights.
Oversees litigation against counterfeit brands in judicial courts and ensures the enforcement of orders for the ending of counterfeit or similar brand production.
Handles all labor related legal cases representing the company and driving these to conclusion.
Collaboratively addresses any inquiries from Customs in conjunction with the Finance and Supply Chain departments, and actively participates in the resolution of all legal notices and issues.
Responds to any legal notices arising from EPA, related to Factories ACT, EOBI, SESSI, SFA or PAFI etc. in collaboration with the concerned department.
Pleads cases filed by various interested parties, including but not limited to distributors and consumers.
Resolves any issues pertaining to the organizations land lease agreements.
6. Regulatory Compliance:
Monitors changes in laws, regulations, and industry standards affecting the organization.
Assesses the impact of regulatory developments on the organization's operations and activities.
Develops and implements compliance programs and policies to ensure adherence to legal requirements.
In particular, ensures compliance with the Companys ACT and provides support for DTRE compliances.
Evaluates compliance with applicable laws and regulations based on the internal audit finding.
Coordinates with regulatory agencies on compliance matters and inquiries.
7. Due Diligence:
Conducts legal due diligence reviews of potential business transactions and major business decisions.
Identifies and assess legal risks and liabilities associated with proposed transactions.
Prepares due diligence reports outlining findings, risks, and recommendations for decision-makers.
Collaborates with other professionals, such as financial advisors and accountants, to conduct comprehensive due diligence assessments.
