Role Summary / Purpose
The Contracts Specialist will be responsible for compliance control, contract administration, and third-party contract support across all TGT worldwide.
Essential Responsibilities
Manage outside counsels and act as a key negotiator for strategic transactions
Review incoming requests for tenders and identify legal issues
Review major account agreements, existing contract amendments, consulting agreements, special licensing, and non-disclosure agreements to ensure compliance with regulatory guidelines
Drive contract lifecycle from drafting through completion and/or contract execution, including managing other legal resources
Assist in internal governance policies and regularly monitor compliance
Research and evaluate risk factors regarding legal and contractual decisions and operations
Apply effective risk management techniques and offer proactive advice on possible legal issues;
Draft and solidify agreements, contracts, and other legal documents to ensure the company’s full legal rights
Provide clarification on legal language or specifications as needed
Manage contract change control process and related correspondence requiring legal input
Maintain a deep understanding of contract templates, contracts policy, legal risk and liability, and company position on various matters to ensure alignment with the company’s goals and industry guidelines
Maintaining, updating and improving contractual records
Prepare contracts for internal review and approval, as well as ensure compliance with company policies as well as applicable laws or regulations
Interpret contracts and advise Business Unit Managers and Department Managers on contractual responsibilities
Translate complex commercial/legal scenarios into simple language and action plans
Assist in the development and maintenance of company policies
Maintain Intellectual Property patents and coordinate with external IP agencies to ensure timely update and registration of existing and new patents.
Qualifications / Requirements
Legal/Law Degree
LPC Qualification is essential
A paralegal certificate is beneficial
2-3 years experience in Contracts Management within the Oil & Gas industry
Experience in negotiating and legal/contracts experience, including post-contract issue management
Demonstrable ability to consolidate operational and commercial feedback for incorporation into contracts
Experience in providing contract reviews and analysis to the business in relation to general contractual matters, including potential or actual disputes
Expertise in critical areas of compliance, including anti-bribery and corruption, FCPA, third-party management, training and awareness campaigns and executive engagement
Expertise in commercial & corporate matters, M&A, and intellectual property in relation to Oil and Gas
Fluent English speaker
