Job Description

The Structured Investments Distributor Marketing (SIDM) and Equity Derivatives lines of businesses covers the sale of structured products through distribution channels to retail and high-net worth investors. The products span across a full spectrum of asset classes including equity, credit, FX, commodity, rates, inflation, exotics & hybrids and funds. The business also has a Shariah-compliant structured products programme. The Equity Derivatives business, among other things, runs a successful German exchange traded warrants (ETP) platform.


Job Summary


As a Markets Legal Counsel - Retail Structured Products EMEA Associate within the Corporate and Investment Bank (CIB) in EMEA, you will be involved in a mix of transactions, advising the business on regulatory and cross-border issues, maintaining issuance programmes, and collaborating on automation and templating initiatives. You will have the opportunity to work closely with various teams and contribute to strategic growth areas within the CIB.


Job Responsibilities


  • Involve in a mix of transactions ranging from private placements of flow products, public offers involving one or multiple European jurisdictions to highly customised products that are tailored to the investor’s investment criteria.
  • Identify and advise the business on regulatory and cross-border issues in delivering products to the end market or when the business wishes to employ a new distribution model or enter new markets.
  • Work with other team members, maintaining the programmes, adding functionality to existing programmes and establishing new issuance platforms.
  • Manage regulatory implementation for the securitised issuance business as required.
  • Involve in automation and templating initiatives collaborating with internal and external technology service providers to deliver automated solutions for legal documents.

Required qualifications, capabilities and skills


  • Licensed to practice law and a member of good standing or otherwise in compliance with the in-house counsel registration rules of that state/jurisdiction or has para-legal experience from a law firm or in-house role 
  • A team player, confident and proactive, enjoys regular interaction with Sales & Trading, legal colleagues and other corporate functions
  • Exceptional organisational skills and great communication skills
  • Eluent in drafting, including the ability to draft "plain language" disclosure documents
  • Experienced with structured products and derivatives documentation 
  • Familiar with negotiating distribution agreements and licence agreements.
