Job Level: Manager – Company Secretary, Controllership


Job location: Chennai


Overview:


Immediate requirement for a candidate with 12  to 15 years experience in the role of Company Secretary with atleast five solid years of handling and leading company secretarial and compliance requirements. The candidate will be responsible in managing the secretarial compliances including listing compliances and other corporate laws compliances. It will be for a leader to lead a team of CS for Private companies and oversee for a Listed entity.


Qualifications and Skills


  • Should be a member of the Institute of Company Secretaries of India.
  • 12-15 years of core experience including atleast 5 years of experience in listed entities which includes working on any restructuring assignments.
  • Good communication and presentation skills.
  • Strong interpersonal and analytical skills.
  • Ability to work independently and lead a team of Company secretaries.
  • To be a company secretary leader to manage compliance of 4 private limited operational entities and 2 non operational entities and also oversee the work of the listed entity.

Essential Job Functions


  • Ensure secretarial, SEBI LODR compliances and other Corporate laws compliance.
  • Should have working knowledge on Regulatory compliances.
  • Handling Board / Committee meetings and General meetings of the entities including listed entity.
  • Ensure statutory disclosures & filings on a timely manner.
  • Handling ROC/SEBI/stock exchanges queries, inspections if any.
  • Vetting of Agreements, contracts, documents etc.
  • Should have handled major assignments like Open offer/delisting etc.
  • Should be up to date with changes/ amendments to Corporate laws and LODR regulations and proactively advise the Board and internal functions.
