Job Level: Manager – Company Secretary, Controllership


Job location: Chennai


Overview:


Immediate requirement for a candidate with 12  to 15 years experience in the role of Company Secretary with atleast five solid years of handling and leading company secretarial and compliance requirements in a listed entity. The candidate will be responsible in managing the secretarial compliances including listing compliances and other corporate laws compliances.


Qualifications and Skills


  • Should be a member of the Institute of Company Secretaries of India.
  • 12-15 years of core experience including atleast 5 years of experience in listed entities which includes working on any restructuring assignments.
  • Good communication and presentation skills.
  • Strong interpersonal and analytical skills.
  • Ability to work independently and as part of a team.

Essential Job Functions


  • Ensure secretarial, SEBI LODR compliances and other Corporate laws compliance.
  • Should have working knowledge on Regulatory compliances.
  • Handling Board / Committee meetings and General meetings of the entities including listed entity.
  • Ensure statutory disclosures & filings on a timely manner.
  • Handling ROC/SEBI/stock exchanges queries, inspections if any.
  • Vetting of Agreements, contracts, documents etc.
  • Should have handled major assignments like Open offer/delisting etc.
  • Should be up to date with changes/ amendments to Corporate laws and LODR regulations and proactively advise the Board and internal functions.
