Job Description:

POSITION INFORMATION


Summary/Objective


The Lead Analyst, Contract Mgmt & Sourcing will be responsible for all aspects of contract and sourcing negotiation and management. Responsible for third-party contracts (i.e. vendors), this position requires the ability to establish and maintain excellent working relationships with both internal and external customers to assist in a complete understanding of the needs and processes of the service or products provided. The position routinely interacts with high-level Business Leaders, Legal staff, and various SVB support teams during their collection of information necessary to support the onboarding of a vendor including the contract creation and negotiation process including sourcing. Regular contract review requires contract compliance monitoring and participation in vendor risk process ensuring contractual agreements meet SVB’s needs and protect SVB from risk. Sourcing review requires negotiations with vendors to optimize the cost and enhance savings

Cost Analysis


Contract Lifecycle Management


Able to manage contracts throughout the entire lifecycle providing consulting and services to contact owner (contract execution to termination and/or replacement)


Contract Risk Management


Based on guidance from applicable regulatory authorities, review and articulate risks and provide recommendations for mitigations.


Exam / Audit Management.  Provide support to Regulatory Examiners, External and Internal Audit


Decisions


The role will have broad discretion to make decisions about contact negotiations, risk, and commercial negotiations


Skills


  • Ability to draft contracts (SLAs, Termination clauses, etc.)  
  • Ability to review & negotiate vendor contracts (MSA, NDA, SOW, etc.)
  • Experience in finalizing commercial/legal terms
  • Experience in using various sourcing techniques
  • MS Office suite proficiency is required – WORD, EXCEL etc.
  • Acrobat PDF editing experience
  • Understanding of various contracts including - confidentiality agreements, master agreements, Amendments, Addenda, SOW, Assignments, letters of intent, etc.
  • Demonstrated process improvement in previous experience
  • Ability to effectively negotiate with internal and external parties and multiple contracts with little supervision 
  • Excellent verbal and written communication skills are a must
  • Ability to consistently adapt to a changing environment 
  • Efficient and effective ability to manage a program while owning individual projects
  • Able to work well with others and show the ability to foster and maintain relationships

Required Education and Experience


Bachelor s Degree


Minimum 8 years of related experience


Preferred Education and Experience


Legal or Paralegal experience a plus
