Job Description Summary


*Regulated Role: In-scope for Position Description* (This is a Local Management role, not a divisional role with country scope). The Country Chief Operating Officer, ("Country COO") manages Deutsche Bank Group’s (“DB Group”) matrix organisation operations in the country, as delegated by the Chief Country Officer (“CCO”), with a focus on ensuring the business divisions and infrastructure functions in the country maintain an effective control environment. The Country COO supports the CCO in ensuring that the (i) Corporate Governance policies and governance standards are adhered to, (ii) local input in global/ regional processes is provided, and (iii) cross-divisional country business, infrastructure and strategic plans are delivered. The Country COO works with regional / global initiative sponsors to ensure initiatives meet country requirements; works with business/infrastructure COOs to improve business and infrastructure operations across the country and escalates matters if the operational, system & control-related issues cannot be resolved adequately within the country via the CCO and Regional CEO, ultimately to the Management Board of Deutsche Bank AG (“DB AG”). The Country COO maintains key relationships with appropriate regulators and government bodies.

Your key responsibilities


Governance:


  • Establishes and maintains a documented proper governance framework on country level to enable Country Management (CCOs and Country COOs) to balance the different interests of DB Group’s matrix organization (business divisions/ infrastructure functions (“Units”), legal entities and branches, and countries)
  • Exercises his/ her veto on matters that run counter country/ local interests, including internal/ external rules and regulations, with focus on the coordination of country/local infrastructure heads and country/local COOs of Units in order to identify and resolve governance, control and operational challenges.
  • Challenges Local Entities (legal entities and branches) and Units in the country to ensure that they have an effective control environment in place and they adhere with internal/external rules and regulations.
  • Serves as a country/local escalation point for the COOs of Units and infrastructure heads escalating, via the Regional CEO, ultimately to the Management Board of DB AG
  • Ensures the consistent and compliant application of governance requirements in the country, manages any periodic assessments in the country and facilitates similar assessments by Group Audit or other external evaluators if any.
  • Provides leadership and takes ultimate decisions during a crisis as Crisis Manager in line with Crisis Management Standards
  • Is involved in major outsourcing decisions with the right to suspend any actions or change the terms thereof.
  • Interacts with main local stakeholders (especially regulators), supporting the CCO to manage audits, inspections and oversee execution of new regulations.
  • Works with Local Entities and Units to define MI to enable Regional CEO/ COO and Country Management to challenge DB Group's operations in the country effectively (at minimum as laid out in Country Management Involvement Model), escalates if required MI is not made available.

Strategy and Client Servicing:


  • Promotes DB Group’s brand in the country.
  • Ensures proper sign- off of new products (via NPA process), new transaction (via NTA process) and the establishment and liquidation of Legal Entities (via LEAP process) for matters concerning country nexus as delegated by CCO.
  • Challenges the implementation of unit-level/global strategies and initiatives as well as ensuring consistency with internal and external requirements guarding adherence to (local) laws and regulations, as delegated by the CCO.
  • Supports local Corporate Social Responsibility (CSR) activities in coordination with regional and/ or central CSR.

People and Performance Management


  • Is involved DB Group’s Appointment & Release process for Local Management positions.
  • Involved in hiring and release decisions for country/local heads of infrastructure line functions and country/local COOs of Units, where applicable and in line with regulatory requirements
  • Provides input to the CCO for the total performance process for country/local Heads of infrastructure line functions and country/local COOs of Units, where applicable and in line with regulatory requirements
  • Culture & conduct for the country

Other Responsibilities


  • Fulfils all obligations towards supervisory authorities and accredited investigators, including any due notifications and any requirements on submission of information.
  • Complies and endorses compliance with DB Group’s internal rules in general, challenges Local Entities in the country to ensure that they have an effective control environment in place and that they adhere to applicable legal and regulatory requirements as well as Policies and Procedures within the country.
  • Acts as escalation channel, being accountable for dispute resolution and for overseeing disciplinary processes.
  • Establishes and maintains a proper business organization and supervision within the area of responsibility along the core organizational requirements as laid out in DB Group’s Internal Governance Principles, and in particular also taking account of applicable segregation requirements and avoiding/ addressing conflicts of interest.
  • Ensures that effective and adequate control mechanisms are in place towards the identification, assessment and management of risks.
  • Represents the country towards internal/ external stakeholders; maintains and fosters internal and external key (business) relationships.
  • Ensures regular involvement and information flow on the resolution of significant internal and external regulatory audit findings within the country.
  • Drives collaboration and trust-based relationships across Units within the country.
  • Supports and contributes to divisional, cross-divisional and global initiatives.
  • Tasks assigned by the CCO / APAC COO

 Responsibilities in the matrix


Ensures proper information flow to all dimensions of the matrix (Unit, country and entity), notifies in a timely manner the appropriate representative(s) of these dimensions on (intended) actions or decisions which may have a material impact on their operations. Ensures involvement of Units, at a minimum, on the matters set forth in the Country Management Involvement Model as per DB Group’s Internal Governance Principles

  • Creates an open and inclusive culture where team members are encouraged to offer and challenge ideas and practices.
  • Acts as an escalation channel for the Group's benefit by ensuring matters are referred to the appropriate function within the Bank (i.e. HR, Compliance, AFC, Legal)

Other Activities


  • Being the member of EXCO, Branch management Board and ALCO
  • Taking a role as Chairperson in OpCo
  • Coordination of Internal Audits of the Branch as well as Annual / ad-hoc External Audits

Relationship Management


  • Regulators (Reserve Bank of India, Securities & Exchange Board of India, etc.), External Advisors, Peers, and Industry Bodies
  • Internal stakeholders, primarily members of the EXCO, other legal / group entity management.

People Management


  • Supports the development of an environment where people management and upholding the culture is a key priority.
  • Acts as a catalyst to new employees, providing leadership in enabling early integration into the work environment.
  • Drives performance culture aligned to organization goals and strategies. Addresses performance issues with HR, where necessary, to drive for high performance

Your skills and experience


Prior work experience (i.e. 20+ years) in the Banking and Financial Services Industry in the senior position


Knowledge on regulatory matters, Banking operations, risk management and technology


Prior experience in dealing with Regulators will be a plus.


Education/Qualifications


Bachelor’s degree or higher in any area


Strong leadership and communication skill


Problem solving skill, logical thinking and adaptable character.
