Job Description

  • Develop, maintain, and update the corporate governance framework, ensuring alignment with international standards and industry best practices.
  • Define and oversee the strategic authority matrix, ensuring clarity in decision-making roles across the organization.
  • Ensure governance structures, policies, and frameworks are effectively implemented across subsidiaries, branches, and affiliated entities.
  • Conduct periodic governance reviews to assess effectiveness, compliance, and relevance to the organizational context.
  • Provide governance-related reports and performance metrics to senior leadership and relevant stakeholders.
  • Act as a secretory to critical governance committees as directed by management
  • Develop, update, and maintain corporate policies, charters, and procedures, ensuring consistency with governance best practices.
  • Oversee the policy governance framework, ensuring policies are effectively developed, reviewed, and communicated across the organization.
  • Ensure compliance with regulatory requirements, internal policies, and industry standards.
  • Conduct policy impact assessments and compliance evaluations to ensure alignment with corporate objectives and risk appetite.
  • Provide training and awareness programs to ensure employees and stakeholders understand governance and policy requirements.
  • Act as the key liaison between the GRC department and business units to ensure governance and policy-related matters are effectively managed.
  • Collaborate with internal and external stakeholders to ensure governance frameworks and policies are efficiently integrated into operations.
  • Prepare and present governance-related reports, policy updates, and compliance findings to senior management and relevant committees.
  • Promote a culture of strong governance, transparency, and ethical decision-making throughout the organization.
  • Lead and mentor the Governance & Policies Team.
  • Foster a culture of ethical behavior, accountability, and continuous improvement.
  • Promote awareness of Governance & Policies best practices as appropriate among management and ensure sound principles are reflected in the organization's mission, vision, and goals.
  • Prepare and present regular reports to senior management and the board of directors.
  • Maintain accurate and comprehensive documentation of Governance & Policies activities.
  • Stay current with industry trends and best practices in the Governance & Policies fields.
  • Collaborate with various departments to integrate GRC practices into business operations.
