Title: Legal Associate

Opportunity
Shorooq is seeking an in-house Legal Associate to manage
the organization’s legal affairs and play an important role in the Firm’s
operations and corporate compliance efforts. The Legal Associate will be
responsible for providing expert corporate and transactional legal advice and
service to Shorooq on transactions, commercial agreements and internal affairs.
The key aspects of the role will be as described below.
Responsibilities include the
following:
-Providing legal advice and service
on investments, including managing legal processes and due diligence for
strategic investments
-Drafting and negotiating term
sheets and final definitive documents for investments, partnerships and
commercial projects of Shorooq;
-Conduct due diligence on potential
investments, ensuring compliance with legal and regulatory requirements
-Identify and mitigate legal risks
associated with investment strategies, transactions, and portfolio management
-Providing advice on shareholder,
board matters and consents, monitoring and reviewing board and shareholders’
communications from portfolio companies (when applicable);
-Liaising and working closely with
external service providers and partners such as external legal counsel, fund administrators,
auditors, etc.
-Reviewing, monitoring and
implementing Shorooq’s internal policies, including but not limited to
employment and financial compliance policies;
-Assisting with compliance matters,
including reporting and documentation obligations related to compliance with
regulations of the ADGM FSRA and internal processes and procedures;
-Assisting with maintaining
registration details for Shorooq and its affiliated entities and investment
vehicles.
-Assisting with necessary filings
required by the registration/regulatory authorities, including with the FSRA
and relevant authorities in each of the jurisdictions in which we operate.
-Assist with investor relations and
reporting, ensuring legal requirements are met
-Providing general day-to-day legal
advice and general commercial and contract legal issues;
-Research legal issues as
necessary, including for new initiatives;
-Stay up-to-date with securities
laws, financial regulations, and other compliance requirements relevant to
investment activities
-Any task required to position and
maintain Shorooq’s position as a leading investment firm.

as soon as possible.
Qualifications and Requirements:
-2+ years legal experience with a
leading law firm or in-house at a top-tier investment firm, with experience in
venture capital, private equity and M&A transactions;
-J.D. or equivalent degree from a
leading law school with excellent academic credentials;
-Admitted to practice law and in
good standing with the relevant bar association or society;
-Strong business and commercial
judgment and project management skills to be able to execute beyond core legal
areas, including the investment and administrative teams across multiple areas;
-Strong oral and written
communication skills. Fluency in English is a must, fluency in Arabic is a
plus;
-Basic financial analytical
capabilities are required;
-Strong experience working with
Microsoft Office applications, including Word, PowerPoint and Excel;
-Knowledge of financial
regulations, particularly those of the ADGM. Knowledge of financial regulations
in other markets in which Shorooq Partners operates would be a plus;
-Team player, ambitious,
self-driven, results-oriented and sharp time management skills;
-Strong ethics, with an ability to
manage confidential data;
-An entrepreneurial mindset, which
includes having flexibility and interest in taking on a variety of tasks to
support the firm’s growth;
