Overview We are seeking an attorney with 6+ years of sophisticated general corporate, commercial contracts, and corporate governance experience for its Law Organization at its headquarters in Dhahran, Saudi Arabia. The work will focus on both the general corporate and commercial contracts practices. For the general corporate practice, as the world’s largest energy company, Saudi Aramco has many international joint ventures, affiliates, and subsidiaries. The Law Organization’s General Corporate and Commercial Contracts Practice Team manages the legal, general commercial, and corporate governance issues for these entities, primarily from a shareholder and governance perspective. Saudi Aramco's Law Organization is growing in response to a broad corporate initiative that involves the continued growth of its exploration, production, refining and marketing, along with expansion into petrochemicals, renewables, power and other sectors of the energy business. Responsibilities
Serve as the corporate secretary for one or more entities, organizing and managing board meetings, and advising as to board authority and corporate governance matters.
Advise as to shareholder issues and manage the interface between the entity, the parent, and other affiliates.
Work closely with internal Saudi Aramco clients and support their substantial and complex contracting and purchasing functions by drafting, reviewing, and negotiating EPC and construction contracts, O&M agreements, BOO/BOOT contracts, service agreements, and other commercial contracts and related agreements.
Prepares and issues opinions and advice to Management with respect to complex corporate rights and obligations, contracts and agreements.
Performs other duties as assigned by the Law Management; provides continuing assistance, guidance and instructions to other counsels.
Minimum Requirements
A Juris Doctorate / Master of Laws degree or equivalent.
Current admission to general practice before the highest court of the state or country of which you are a citizen or resident.
Minimum 12 years relevant work experience. Of which, at least 6+ years with a strong law firm, large corporation, or other sophisticated business organization.
Relevant commercial contracts experience.
Experience serving as corporate secretary to a sophisticated board of directors.
General corporate experience.
Experience providing concise and clear support to internal clients.
Leadership and mentorship experience. Energy industry (oil and gas, petrochemical, power or oil field services), construction industry, or international experience are a plus.
