Position: Senior Legal Counsel

About the Company:
Our client, a leading international bank with a strong presence in the Middle East, is seeking a Senior Legal Counsel to join their legal team in Riyadh. The bank provides a comprehensive range of investment banking services, including Equity Capital Markets (ECM), Mergers & Acquisitions (M&A), Initial Public Offerings (IPOs), and advisory services.
Key Responsibilities:
- Provide expert legal advice on ECM, M&A, IPOs, and investment banking advisory services, ensuring compliance with local and international regulatory frameworks.
- Draft, review, and negotiate complex transactional agreements, including underwriting, advisory, and other related documentation.
- Liaise with internal stakeholders, including senior management and business units, to ensure legal risks are identified and mitigated effectively.
- Advise on legal and regulatory requirements applicable to the banking industry, including SAMA, CMA, and Tadawul regulations.
- Support the bank’s corporate governance framework and ensure adherence to best practices.
- Collaborate with external counsel as needed, managing relationships and ensuring high-quality, cost-effective service.
Qualifications:
- Native Arabic speaker, with fluency in English (written and spoken).
- 5-8 years of post-qualification experience (PQE) in corporate and commercial law, preferably with a focus on ECM, M&A, and IPOs.
- Significant experience working within or advising the financial services sector, particularly banks.
- Training and work experience with a tier 1 international law firm.
- Educational background from the US or UK (LLB, LLM, or equivalent).
- Strong understanding of Saudi Arabian banking and financial regulations.
