KEY RESPONSIBILITIES
Commercial Negotiations:
- Lead the negotiation of commercial terms for all major contracts, including EPC contracts, ensuring favorable terms and conditions for the organization.
- Draft, review, and finalize contracts, ensuring that all necessary terms, conditions, and clauses are included and comply with legal and regulatory requirements
- Collaborate with internal stakeholders, including legal, deal teams, proponents, and other stakeholders, to develop negotiation strategies and ensure that contracts align with organizational goals and deal specific objectives.
- Build and maintain strong relationships with key vendors, contractors, and stakeholders to ensure alignment on commercial objectives and contractual terms.
- Collaborate with project management teams to ensure all commercial agreements align with project budgets and financial goals.
Contract Implementation
- Oversee the implementation of contracts, ensuring that all parties adhere to the agreed-upon terms and conditions.
- Monitor contract performance, including timelines, deliverables, and compliance with payment terms.
- Manage any changes to contracts, including amendments, extensions, and terminations, ensuring that all modifications are documented and approved.
- Ensure that commercial terms facilitate the timely and cost-effective delivery of projects, driving operational excellence and value creation.
Risk Management, Compliance & Dispute Resolution:
- Identify and assess potential risks associated with contracts and develop strategies to mitigate these risks.
- Ensure that all contracts comply with internal policies, industry standards, and relevant laws and regulations.
- Maintain records of all contracts, including key dates, obligations, and milestones.
- Conduct market research and analysis to ensure competitive pricing and identify opportunities for cost savings or improved commercial terms.
Reporting and Communication:
- Provide regular updates to senior management and relevant stakeholders on the status of contracts, including any issues or risks.
- Prepare and present reports on contract performance, highlighting key metrics and areas for improvement.
Continuous Improvement:
- Continuously review and improve the contract management process to enhance efficiency and effectiveness.
- Stay updated on industry best practices and trends in contract management and implement new strategies as appropriate.
BACKGROUND, SKILLS & QUALIFICATIONS
- 15+ years of experience in contract negotiation, drafting, and management, preferably in a corporate or legal environment.
- Experience in negotiating and managing contracts in industries such as construction, engineering, technology, or finance is highly desirable.
- Strong negotiation skills with a proven track record of successfully negotiating complex contracts.
- Excellent understanding of contract law, terms, and conditions.
- Strong analytical and problem-solving skills, with the ability to assess risks and develop mitigation strategies.
- Excellent communication and interpersonal skills, with the ability to work collaboratively with internal and external stakeholders.
- Strong organizational skills and attention to detail.
QUALIFICATIONS
- Bachelor’s degree in business administration, Law, Contract Management, or a related field.
- A master’s degree or professional certification (e.g., Certified Professional Contract Manager (CPCM)) is a plus
