KLCCA Legal Consulting and Corporate Affairs Company announces for a job in Jeddah “Corporate Governance and Investor Relations officer” for Al Yamamah Steel Industries Company, one of its special clients in the field of steel industries in KSA in Middle East.
The Al Yamamah company in Jeddah is looking for a corporate governance and investor relations officer (both sexes) to implement the corporate governance framework, investor relations and compliance, and ensure that operations comply with CMA laws, regulations and standards. Work closely with CEO and Senior Management and Board of Directors and Shareholders.
Details of the responsibilities, benefits, salary and shift:
Main functions:
1 Corporate Governance Framework Development and Execution:
- Develop and implement governance policies and procedures in line with regulations (laws) and regulatory requirements issued by the CMA and best practices.
- Regularly review and update governance documents, including charters, terms of reference, and position descriptions.
2 Compliance Oversight:
- Monitor compliance with corporate laws, regulations, and internal policies.
- Managing and editing disclosure forms, reports and ongoing and emergency requirements in accordance with instructions for listed companies on the financial market.
- Ensure timely submission of legal and regulatory reports.
- Strengthening relations with regulatory bodies.
- Advise the Board of Directors and senior management on governance and compliance issues.
3 Board Support:
- Organize and coordinate Board and committee meetings, including scheduling, agenda preparation, and distribution of materials.
- Record accurate minutes of meetings and ensure follow-up on action items.
4 Risk Management:
- Identify and assess governance-related risks within the organization.
- Collaborate with internal audit and compliance teams to implement effective risk mitigation strategies.
5 Stakeholder Communication:
- Serve as a liaison between the company and external stakeholders on governance matters.
- Strengthen investor relations and manage the complaint register.
6 Communication Strategy:
- Develop and implement an investor relations program to communicate the company’s strategy, financial performance, and outlook to investors and analysts.
- Create presentations, press releases, and other communication materials for earnings releases and industry events.
7 Market Analysis:
- Monitor and analyze market trends, competitor performance, and investor sentiment.
- Provide feedback to senior management on market perceptions and concerns.
8 Relationship Management:
- Participate in monitoring market trends and competitors' performance.
- Serve as the primary point of contact for investor inquiries and meetings.
9 Regulatory Compliance:
- Ensure compliance with regulatory requirements related to investor communications and disclosures.
- Coordinate the preparation and filing of required financial disclosures.
10 Event Coordination:
- Organize and manage investor events, including annual general meetings, investor conferences, and roadshows.
- Prepare briefing materials for senior management ahead of investor interactions.
11 Organizing investment events:
- Participation in the organization of annual general meetings, conferences and investor presentations.
- Participation in the preparation of management information materials prior to meetings with investors.
Other:
- Salary will be determined based on years of experience and the result of the interview evaluation
- Opening hours from 07:30 am to 05:30 pm (Sunday: Thursday)
- The candidate would prefer to be a resident and neighbor of the workplace.
