الوصف الوظيفي

Key Responsibilities:

  1. Mergers & Acquisitions (M&A):
  • Advising clients on domestic and cross-border M&A transactions, including mergers, acquisitions, joint ventures, divestitures, and strategic alliances.
  • Conducting due diligence processes, preparing reports, and identifying potential legal risks and opportunities.
  • Drafting and negotiating transaction documents such as share purchase agreements, asset purchase agreements, shareholder agreements, and joint venture agreements.
  • Assisting in structuring transactions to ensure compliance with applicable laws and regulations.
  1. Capital Markets:
  • Advising clients on various capital market transactions including initial public offerings (IPOs), rights issues, private placements, and bond issuances.
  • Preparing, reviewing, and negotiating prospectuses, offering memorandums, and other disclosure documents.
  • Ensuring compliance with securities regulations and corporate governance requirements.
  • Liaising with regulatory authorities and handling relevant approvals and filings.
  1. Corporate Transactions & General Corporate Advisory:
  • Drafting and reviewing corporate governance documents, including articles of incorporation, bylaws, resolutions, and minutes of meetings.
  • Advising clients on corporate structuring, restructuring, and compliance with applicable laws and regulations.
  • Providing legal opinions on various corporate matters including commercial contracts, licensing, and business registration.
  • Assisting clients in corporate financing transactions and related due diligence.
  1. Regulatory Compliance & Research:
  • Keeping abreast of relevant laws, regulations, and industry developments in M&A, capital markets, and corporate governance.
  • Providing guidance on regulatory compliance and risk management related to transactions.
  1. Client Relationship Management:
  • Maintaining effective communication with clients, understanding their business needs, and providing tailored legal solutions.
  • Collaborating with other departments within the firm to provide comprehensive legal services.
