On the Job
Handle transactional legal work, including private equity, fund-raising, corporate restructuring and other such corporate deals.
Management of stakeholders and stakeholder communication, including with investors, vendors/ service providers, regulators, external legal advisors, tax advisors, auditors, etc.
Draft, review, and negotiate contracts, term sheets, organisation level policies and other related legal documents.
Provide legal advice and support to various teams of the organisation such as people team, finance team, product and design team, to ensure compliance with applicable laws and regulations.
Work closely with senior legal counsels at the organisation, in deal structuring and execution.
Conduct legal research and provide insights on industry trends, regulations, and best practices.
Assist in the management of legal risks and ensure legal processes are followed in all transactions.
Manage and coordinate with internal teams to facilitate the completion of legal documents and agreements.
Assist the organisation with various operational and day-to-day matters, internal compliances, documentation, policies, research and legal opinions
Must-haves (Min. qualifications)
2-3 years of experience in a law firm environment with focus on transactional work.
Prior experience in private equity, corporate restructuring and fund-raising transactions.
Sound knowledge of corporate law and other regulations, especially pertaining to corporate deals and fintech (including FEMA, RBI regulations, PPI directions and Companies Act, 2013).
Strong drafting and negotiation skills, including for transactional agreements such as share subscription agreements, share purchase agreements, shareholders agreements, term sheets, side letters, etc.
Strong academic background in law.
