Job Title: Corporate Governance Specialist and Company Secretary

Job Overview:


Genesys has an exciting opportunity open for a full-time in-house position as Corporate Governance Specialist and Company Secretary. The successful candidate will lead corporate governance for all of our India entities and manage the corporate secretarial function, advising the board on legal and governance matters.  This position will report to the Corporate Governance Manager in the United States.


The position requires an experienced, self-motivated individual who possesses strong organizational skills, attention to detail, and is comfortable working in India as well as other various jurisdictions. The candidate must have excellent interpersonal skills, and the ability to work independently and in a team environment.
The candidate must be a certified Company Secretary registered with the Institute of Company Secretaries of India . The incumbent will carry out in-house duties as a legal and compliance expert in India. The position requires a strong understanding of local (Indian) and global corporate laws, corporate governance and related regulatory compliance obligations.
 


Key Responsibilities:


Perform all functions of a corporate governance specialist and company secretary as per the provisions of the Companies Act, 2013 and the rules thereunder for the company and its subsidiaries located in India (Company).


Broad Duties and Responsibilities:


CORPORATE GOVERNANCE AND SECRETARIAL SERVICES:


  • Maintain the statutory registers and minute books, file forms on behalf of the Company and act as the custodian of hard copy corporate records, statutory books and registers.
  • Responsible for filing, registering any document including forms, returns and applications by and on behalf of the Company, while also tracking and monitoring statutory deadlines.
  • Facilitate approval and conduct of Board meetings and annual and extraordinary general meetings of shareholders, including producing agendas, taking minutes, conveying decisions, and handling meeting correspondences of the Company.
  • Handles entity formations and incorporation of companies and matters related therewith.
  • Works collaboratively with the India finance team on entities which are to be  liquidated.
  • Manages the signing of financial statements, annual returns where necessary and responsible for other declarations, attestations and certifications to be provided as designated company secretary of the company.
  • Advise on good governance practices and compliance of corporate governance norms as prescribed under various laws, regulations and guidelines.
  • Liase with external advisors as needed for support with projects.
  • Training directors and members of the leadership team on corporate governance matters.
  • Facilitate appropriate signatures for all board related matters and legal documents for Genesys India entities
  • Assist with additional entity corporate governance matters in other APAC jurisdictions, including powers of attorney, board matters, annual general meeting documentation and entity reorganizations.
  • Support team with documentation requests relating to KYC/AML procedures for customers, partners and vendors globally.
  • Work collaboratively with the India finance team with respect to internal and external audits, ensuring compliance with all regulatory and statutory requirements.
  • Monitor and mitigate governance and compliance-related risks.
  • Verification of XBRL.
  • Assist with preparation of Annual Return in conjunction with India finance team.
  • Other special projects as assigned.


Qualifications:


  • Must be a qualified Company Secretary (CS) registered with the ICSI with at least 5 years experience in a corporate secretarial role. 
  • In-depth understanding of the Companies Act, 2013, and other relevant corporate laws in India. 
  • Knowledge of good corporate governance practices and compliance requirements. 
  • Ability to efficiently manage board meetings, including agenda preparation, minutes recording, and follow-up actions. 
  • Expertise in handling statutory filings, maintaining statutory records, and ensuring compliance with regulatory requirements. 
  • Fluent in English & Tamil

Skills:


  • Excellent written and verbal communication skills to interact with directors, senior management, and regulatory authorities. 
  • Exceptional attention to detail, high ethical standards, and the ability to maintain discretion.
  • Capable of working independently and collaboratively within a team.
  • Ability to meet deadlines with minimal direct supervision.
