Read more about the life in PayU here The Role To support LazyPay’s growth plans in India for fintech marketplace and insurance distribution and credit opportunities, LazyPay is looking for Assistant Manager/ Manager - Corporate Secretarial with hands-on experience in corporate secretarial function.
Key responsibilities for this role include:
Providing support to the local and global corporate secretarial team regarding the implementation of LazyPay and PayU group strategies and policies.
Providing support with regard to mitigating regulatory risks.
Liaison with ROC on day-to-day matters if required, respond to communications from ROC etc;
Managing various audits including but not limited to concurrent audit, internal audit, statutory audit, secretarial audit, etc.
Maintenance of manual/checklists on the basis of notifications / circulars issued by ROC and other regulatory authorities, from time to time.
Ensuring timely filing of various regulatory reporting applicable to the entity and maintaining MIS of returns filed.
Providing support to various other departments and regional and global teams.
Ensuring compliance with various group internal initiatives like rollout of compliance tools, etc.
Compliance with various foreign exchange related regulatory requirements (e.g. FEMA, FDI guidelines, ECB guidelines, etc.).
Ensure compliance with SEBI requirements relating to listing agreement and debt listing regulations whenever applicable.
Filing of necessary returns, forms, etc. with SEBI, stock exchanges etc.
Conducting board meetings, general meetings, and committee meetings including preparation of agenda, notes, and circulation of minutes of the meetings and ensure compliance with the secretarial standards and Companies Act regarding same.
Handling activities relating to allotment of equity shares, preference shares, debentures,commercial papers, etc. and ensure related filings with various regulatory authorities including MCA, IRDAI etc., are filed in a timely manner.
Handling relationship with depositories (NSDL/CDSL), registrar and transfer agent,security / debenture trustee, etc.
Ensuring day to day compliance with the requirements of the Companies Act, 2013 and rules notified thereunder.
Such other matters as may be assigned by the seniors from time to time.
Education qualification:
A member of the Institute of Company Secretaries of India. A bachelor’s degree in law will be an added advantage.
Experience:
5-7 years of post-qualification experience in corporate secretarial matters.
