Description
1. JOB PURPOSE:
To assist in drafting the legal contractual documents involving CIB in order to safeguard the bank’s interests and ensure its solid legal position with various stakeholders.
2. KEY ACCOUNTABILITIES:
Description
Contract Review
1. Prepare initial drafts for facility agreements and documentations related to the Banks facilities (whether short, medium or long-term, whether directly or indirectly) to safeguard the bank’s interests.
2. Prepare initial drafts related to the bank’s secured facilities, in order to ensure a solid legal position.
3. Prepare initial drafts for syndicated facility agreements and their related documentations including the different roles (facility agent, security agent etc.) and with the bank’s vendors as well as the banks forms, applications and requests in accordance with the policies, laws and regulations.
4. Assist in drafting all the documents related to the incorporations of the bank’s subsidiaries and their legal work (general policies, governing regulations, registration documents. etc.) in order to ensure the abiding of Egyptian law.
5. Support in handling the escrow agent role starting from the negotiation step with the counter parties’ till finalizing the agreement; and ensure the adequate and smooth process of the mechanism of the deal in our Bank.
6. Prepare the Global Depositary Receipt related agreements including reviewing the prospectus and the Global Depositary Agreements, the securitization and subscription in order to abide by the FRA and the Egyptian law.
7. Assist in providing Legal opinions to the different departments of the bank as well as legal opinions from external foreign legal counsels to ensure adequate mitigation for any legal risks offshore.
8. Assist in preparing the standard legal documents used on the intranet to reflect the updated laws and the concerned committee requirements.
Ad-hoc Meetings
9. Assist in legal issues when necessary to the Sector Head through attending meeting with clients, external Law firms (offshore or local) or legal advisors in all aspects of the subject transaction.
Legal Advice
10. Provide assistance when necessary to the Section Head in providing relevant and solid legal advice to the different stakeholders in order to efficiently meet different business lines inquiries and to best serve the bank interest.
Qualifications
1. QUALIFICATIONS, EXPERIENCE, & SKILLS:
Qualifications & Experience
Bachelor in Law
Registered as a lawyer in the Courts of Appeal at the Egyptian Bar Association.
1-3 years of experience
Skills
Good command of English and Arabic Language.
PC Literate.
Excellent knowledge of applicable laws.
Presentation Skills.
Primary Location
